Terms of Service

1. Acceptance of terms

By accessing or using Galah Sales Platform ("Galah"), you accept these Terms of Service. If you don't accept, don't use the platform.

2. What Galah is

Galah is a software platform connecting independent sales representatives ("Reps") with solar installers ("EPCs") and end customers. Galah is NOT an installer, is NOT a lender, and does NOT employ the Reps. Each Rep operates as an independent contractor.

3. Your account

You are responsible for:

  • Maintaining the confidentiality of your account and password
  • All activity under your account
  • Providing truthful information and keeping it updated
  • Complying with all applicable licenses and permits in your state

4. Commission model

The platform charges a fee of $0.20 per installed watt on every closed deal. This fee is added to the EPC's redline. The Rep's minimum commission per deal is $500. Specific payment details (M1 at signing, M2 at installation) are governed by the separate Rep Agreement.

Galah reserves the right to adjust the fee with 30 days prior notice.

5. Prohibited conduct

You may NOT use the platform for:

  • Illegal or fraudulent activities
  • Misleading homeowners about products or financing
  • Impersonating Galah, EPCs, lenders, or other entities
  • Sharing credentials with third parties
  • Reverse engineering or copying the platform
  • Spam, harassment, or abusive conduct
  • Selling a homeowner's information without their consent

Violation may result in immediate suspension and loss of pending commissions.

6. Intellectual property

All platform content (code, design, educational content, scripts) is owned by Galah or its licensors. You may not copy, modify, distribute, or create derivative works without written permission.

7. No warranties

The platform is provided "as is" and "as available". Galah does not warrant uninterrupted availability, absence of errors, or that the platform will meet all your expectations. Business decisions are your responsibility.

8. Limitation of liability

In no case shall Galah be liable for indirect, incidental, consequential, or punitive damages. Galah's total liability shall not exceed the amount paid by you to Galah in the 12 months prior to the claim.

9. Termination

You may terminate your account at any time by contacting us. Galah may terminate your access for violation of these terms or for other reasonable reasons with 30 days prior notice (except in case of serious violation, where it may be immediate).

10. Applicable law

These terms are governed by the laws of the state where Galah is incorporated. Disputes will be resolved through binding arbitration, except where prohibited by law.

11. Changes

Galah may modify these terms. Material changes will be notified by email with 30 days advance notice. Continued use after the effective date constitutes acceptance.
